Flynker Fashion E-Commerce Vendor Agreement

This Vendor Agreement (“Agreement”) is entered into between [Your Company Name], hereinafter referred to as the “Vendor,” and Flynker Fashion E-Commerce, hereinafter referred to as “Flynker,” collectively referred to as the “Parties.”
Acceptance of Terms
By registering as a vendor on the Flynker Fashion E-Commerce platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, please do not proceed with the registration process.
Vendor Registration and Responsibilities
To become a vendor on Flynker, you must complete the registration process and provide accurate and up-to-date information about your business. You are responsible for maintaining the accuracy of your vendor account information and updating it promptly when necessary.
Product Listings and Content
As a vendor, you are solely responsible for the accuracy, completeness, and legality of the product listings and content you provide on the Flynker platform. This includes product images, descriptions, and pricing information. You must ensure that your product listings comply with all applicable laws and regulations.
Quality Control
Flynker places a high value on the quality of products sold on its platform. Vendors are required to maintain a high standard of quality for their products. Flynker reserves the right to implement quality control measures, including but not limited to product sampling, inspections, and customer feedback analysis. Vendors agree to cooperate with Flynker in implementing and adhering to these quality control measures.
Blacklist/Termination for Poor Quality
If Flynker determines, in its sole discretion, that the quality of a vendor’s products does not meet the established standards, Flynker may take the following actions:
– Quality Improvement Plan: Flynker may provide the vendor with a written notice specifying the areas of concern and a reasonable timeframe for improvement.
– Blacklisting: If the vendor fails to meet the specified quality standards within the given timeframe, Flynker reserves the right to blacklist the vendor, suspending their access to the platform indefinitely.
– Termination: Flynker may terminate the vendor’s account and access to the platform if the poor quality persists or if the vendor repeatedly fails to meet quality standards after receiving a Quality Improvement Plan.
Pricing and Payment
Vendors have the discretion to set the prices for their products, but they acknowledge that Flynker may charge a commission or transaction fee on sales made through the platform. Payment for products sold will be processed through Flynker’s secure payment gateway, and vendors agree to abide by Flynker’s payment policies.
Intellectual Property
Vendors retain ownership of the intellectual property associated with their products. By listing products on Flynker, vendors grant Flynker a non-exclusive, royalty-free license to use, display, and distribute their content on the platform.
Compliance with Laws
Vendors agree to comply with all applicable laws and regulations, including but not limited to those related to product safety, labeling, and advertising. Vendors are responsible for obtaining any necessary licenses or permits for their products.
Termination
Flynker reserves the right to terminate the vendor’s account and access to the platform at any time for any reason, including but not limited to violation of this Agreement or Flynker’s policies.
Confidentiality
Vendors may have access to confidential information about Flynker and its operations. Vendors agree to keep such information confidential and not disclose it to third parties.
Governing Law
This Agreement is governed by the laws of India. Any action, suit, or other legal proceeding, which is commenced to resolve any matter arising under or relating to this Agreement or the Platform shall be subject to the jurisdiction of the courts at Hyderabad, India
By registering as a vendor on Flynker, you indicate your acceptance of and agreement to comply with the terms and conditions set forth in this Vendor Agreement.
